# MarkovLab — Terms of Service

## 1. Acceptance of Terms

By accessing or using MarkovLab's website, applications, and services (the
"Service"), or by clicking "Continue with Google", "Start Trial", "Subscribe",
or otherwise accessing any feature of the Service, you acknowledge that you have
read, understood, and agree to be bound by these Terms of Service ("Terms"),
including the Risk Disclosure and Privacy Policy referenced herein. If you do
not agree, you may not use the Service.

MarkovLab records evidence of your acceptance — including the date and time, the
account email, and the version of the Terms accepted — and may produce that
evidence to payment processors, regulators, or courts in connection with any
dispute.

## 2. What MarkovLab Is — and What It Is Not

**MarkovLab is software.** It provides analytics, market-regime classification,
options screening, strike selection, scenario analysis, backtesting, hedging
analytics, journaling, and educational content for self-directed options market
participants. That is the entirety of what MarkovLab does.

**MarkovLab is NOT, and does not hold itself out as, any of the following:**

- A broker, broker-dealer, dealer, introducing broker, or clearing firm
- An exchange, alternative trading system (ATS), or trading venue
- A market maker, liquidity provider, or order-matching engine
- A money transmitter, money services business, or custodian of any funds or
  securities
- A financial adviser, investment adviser, registered investment adviser (RIA),
  asset manager, or fiduciary

**No registration / no advice in any jurisdiction.** MarkovLab is not registered
with, licensed by, or endorsed by the U.S. Securities and Exchange Commission
(SEC), FINRA, the Commodity Futures Trading Commission (CFTC), the U.K. Financial
Conduct Authority (FCA), the Securities and Futures Commission of Hong Kong
(SFC), the Monetary Authority of Singapore (MAS), or any other securities or
financial regulator. Nothing on the Service constitutes financial, investment,
legal, tax, or trading advice, an offer or solicitation to buy or sell any
security, or a recommendation of any security, strategy, or course of action in
any jurisdiction. The Service does not take into account your personal financial
situation, objectives, or risk tolerance.

## 3. Service Description

The Service may include, among other features:

- **Regime Engine** — Hidden-Markov-Model classification of market conditions per
  ticker, persisted and overlaid as bands on price charts.
- **Scanner & Model Screener** — Filters and ranked, evidence-backed candidate
  lists that match user-defined criteria.
- **Strike Selection & Ticker Workbench** — Probability-of-touch and strategy-fit
  analytics computed from option-chain and historical data.
- **Reliability Lab, Hedging, and Backtest Lab** — Position-lifecycle monitoring,
  drawdown analytics, and historical strategy validation.
- **Journaling & Alerts** — Records of your own activity and user-configured
  notifications.

All output (scores, rankings, "FAVOURABLE / NEUTRAL / CAUTION" labels, "Best
Entry" suggestions, probabilities, and AI-generated text) is model-derived,
informational, and educational only.

## 4. Broker Connections and Order Handling

### 4.1 Read access

When you connect a brokerage account (e.g., Tradier or Alpaca) using API
credentials you provide, you authorize MarkovLab to read market data and your
account information — positions, balances, orders, executed trades, and related
portfolio data — for the purpose of providing the Service to you. Your broker
API credentials are encrypted at rest and are never displayed back to you or
shared.

### 4.2 Execution assistance (you initiate, your broker executes)

Where your broker's API supports it and **you explicitly initiate an order**,
the Service may transmit that order to your connected broker on your behalf for
execution within your own brokerage account. **MarkovLab does not execute, route
to an exchange, clear, settle, match, or custody any order, security, or money.
Your broker does.** You are solely and fully responsible for every order — its
parameters, timing, suitability, and outcome — whether entered manually in your
broker or initiated through the Service. You may disable order initiation at any
time, and MarkovLab never trades on a discretionary basis without your specific,
contemporaneous instruction.

### 4.3 Data license

By connecting a brokerage account you grant MarkovLab a worldwide, royalty-free,
non-exclusive license to access, store, process, and display to you the data in
Section 4.1 to provide the Service, and to generate aggregated, anonymized, or
de-identified statistics for product development and research. **MarkovLab does
not sell your broker data.**

## 5. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into binding
contracts in your jurisdiction, and you must not be a resident of, or located
in, any sanctioned or embargoed region. You are responsible for maintaining the
confidentiality of your account and for all activity under it. Accounts are
created via Google sign-in; you may not share your account or use it on behalf of
a third party.

## 6. Acceptable Use

You will not (a) scrape or extract data programmatically beyond reasonable manual
use; (b) reverse-engineer, resell, or sublicense the Service; (c) attempt to
circumvent rate limits, bot protection, or access controls; (d) submit unlawful,
infringing, or harmful content; or (e) interfere with other users' access or the
integrity of the Service.

## 7. Subscriptions, Trials, Billing, and Auto-Renewal

Access to paid features requires an active subscription billed via Stripe in
advance for the billing period you select. **Paid subscriptions automatically
renew** at the then-current price unless you cancel before the renewal date.
Where a trial is offered, you authorize MarkovLab to charge the applicable
subscription fee at the end of the trial unless you cancel beforehand. We will
provide at least thirty (30) days' notice of any price change applicable to
future renewals.

## 8. Cancellation and Refunds

You may cancel at any time; cancellation stops future billing and you retain
access until the end of the period already paid for. Except where required by
applicable law or expressly stated at the point of sale, fees already charged are
non-refundable and there are no prorated refunds for partial periods. If you have
an issue with a charge, contact us at info@markovlab.app before initiating
a chargeback so we can resolve it.

## 9. Risk Acknowledgement

You acknowledge that you have read and understood the **Risk Disclosure**, that
options and derivatives trading involves substantial risk including the risk of
loss exceeding your initial investment, and that all probabilities and scores
presented by the Service are estimates that do not guarantee any outcome.

## 10. No Warranties

The Service is provided "as is" and "as available" without warranties of any
kind, express or implied. We do not warrant continuous availability; accuracy,
completeness, or timeliness of market, portfolio, or model data; or the results
of any analysis, backtest, or AI-generated content.

## 11. Limitation of Liability

To the maximum extent permitted by law, MarkovLab shall not be liable for any
trading losses or for any indirect, incidental, special, consequential, or
punitive damages, including losses arising from orders you initiate, reliance on
signals or AI output, data delays or errors, API or connectivity outages, or
decisions made by your broker or any third party. MarkovLab's aggregate liability
for any claim shall not exceed the amount you paid us in the twelve (12) months
preceding the claim. Nothing limits liability that cannot be excluded by law.

## 12. Indemnification

You agree to indemnify and hold harmless MarkovLab and its officers, employees,
and agents from any claims, damages, losses, costs, or fees (including reasonable
attorneys' fees) arising from your use of the Service, your trading activity, or
your violation of these Terms or of any third party's rights.

## 13. AI and Automated Analysis

AI-generated features may contain errors or unsuitable output and are provided
for informational and educational purposes only. Do not rely on them as the sole
basis for any decision.

## 14. Intellectual Property

All content, features, and functionality of the Service are owned by MarkovLab or
its licensors and are protected by intellectual-property laws.

## 15. Termination

We may suspend or terminate your account at our discretion for conduct that
violates these Terms or presents a security or legal risk.

## 16. Changes

We may update these Terms; material changes will be posted with an updated
"Last updated" date and may require re-acceptance.

## 17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which MarkovLab is
established, without regard to conflict-of-law rules. Any dispute arising from
these Terms or the Service shall be resolved through binding arbitration, except
that either party may seek injunctive relief in a court of competent
jurisdiction.
